All products sold by Pharma Peptides LLC are labeled and supplied “FOR RESEARCH USE ONLY.” Products are not approved for human use, not approved for veterinary or animal use, not intended for food, beverage, dietary supplement, or cosmetic use, and not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition. By accessing this website or placing an order, you certify that you are a qualified researcher acting on behalf of a legitimate research institution, that you are at least twenty-one (21) years of age, and that you will use products solely for lawful in vitro research conducted in a controlled laboratory setting. If you cannot make these certifications, do not access this website and do not place an order.

1. Acceptance of Terms

These Terms and Conditions (“Terms“) constitute a legally binding agreement between you (“Buyer,” “you,” or “your“) and Pharma Peptides LLC, an Arizona limited liability company (“Pharma Peptides,” “Company,” “we,” “us,” or “our“), governing your access to and use of pharmapeptides.com and any associated subdomains (the “Site“), and your purchase of any goods or services offered by us (collectively, the “Products“). By accessing the Site, creating an account, submitting an order, or accepting delivery of any Product, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein, all of which are incorporated by reference. If you do not agree to these Terms in full, you must not access the Site, create an account, or place any order.

These Terms supersede any conflicting or additional terms contained in any purchase order, requisition, or other document submitted by Buyer, regardless of whether Pharma Peptides signs or otherwise acknowledges such document. No course of dealing, course of performance, or trade usage shall modify these Terms.

2. Definitions

For purposes of these Terms:

  • Products” means any peptides, proteins, amino acid derivatives, reference standards, conjugates, liquids, powders, chemicals, reagents, labware, hardware, services, documentation, and any other goods or services that Buyer purchases or otherwise obtains from Pharma Peptides.
  • RUO” means Research Use Only.
  • COA” means Certificate of Analysis.
  • Order” means any request to purchase Products submitted by Buyer through the Site, by email, by purchase order, or by any other means.

3. Research Use Only — Intended Use Restrictions

3.1 Product Classification

All Products sold by Pharma Peptides are classified as Research Use Only (RUO) materials intended exclusively for in vitro laboratory research conducted by qualified researchers in controlled settings. Products are not drugs, biologics, medical devices, dietary supplements, food additives, or cosmetics, and have not been evaluated, approved, cleared, registered, or authorized by the U.S. Food and Drug Administration (“FDA“), the U.S. Department of Agriculture, the Drug Enforcement Administration, or any other federal, state, local, or foreign regulatory authority for any use other than research. No statement made by Pharma Peptides on the Site, in marketing materials, in product documentation, or otherwise has been evaluated by the FDA.

3.2 Pharma Peptides Is Not a Compounder or Outsourcing Facility

Pharma Peptides is a research chemical supplier. Pharma Peptides is not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act (“FFDCA“), and Pharma Peptides is not an outsourcing facility as defined under Section 503B of the FFDCA. Pharma Peptides does not manufacture, compound, or distribute Products for use in or with humans or animals.

3.3 Prohibited Uses

Buyer expressly agrees that Products shall NOT be used for, and Buyer shall not directly or indirectly cause, permit, or facilitate the use of Products for, any of the following:

  1. Human consumption, ingestion, injection, infusion, inhalation, topical application, implantation, or any other form of human administration or use;
  2. Veterinary or animal use of any kind, including administration to any animal;
  3. Food, beverage, nutraceutical, or dietary supplement manufacturing, formulation, or testing;
  4. Cosmetic, personal care, or topical product manufacturing or formulation;
  5. In vitro diagnostic use in humans or animals;
  6. Therapeutic, prophylactic, palliative, or any other medical, clinical, or healthcare use, including the diagnosis, treatment, cure, mitigation, or prevention of any disease, condition, or symptom;
  7. Compounding, repackaging, relabeling, or use as a starting material, active pharmaceutical ingredient, or component of any other product intended for the uses prohibited above;
  8. Resale, transfer, donation, gift, or other distribution to end consumers, the general public, or any non-research entity;
  9. Any use that would cause Products, or any product made with or from Products, to be adulterated or misbranded within the meaning of the FFDCA, or to be a product that may not, under Sections 404, 505, or 512 of the FFDCA, be introduced into interstate commerce; or
  10. Any use that violates federal, state, local, or international law, regulation, or institutional policy.

3.4 Buyer’s Certifications and Representations

By submitting an Order, Buyer certifies, represents, and warrants to Pharma Peptides that:

  1. Buyer is at least twenty-one (21) years of age and is legally competent to enter into binding contracts;
  2. Buyer is a qualified researcher, scientist, laboratory professional, or duly authorized representative of a legitimate research institution, laboratory, biotechnology or pharmaceutical company, contract research organization, government agency, or accredited educational institution;
  3. Buyer possesses the scientific training, expertise, technical competence, facilities, equipment, and personnel necessary to receive, store, handle, use, and dispose of research chemicals safely and lawfully;
  4. Products will be used solely for lawful in vitro research conducted in a controlled laboratory setting and for no other purpose;
  5. Buyer is fully aware of, and assumes all risks associated with, the health and safety hazards of handling, storing, and using research chemicals, including the Products being purchased;
  6. Buyer is responsible for, and will implement, all industrial hygiene controls and personal protective equipment necessary to protect Buyer, Buyer’s personnel, and any other individuals from such hazards;
  7. Buyer understands and will comply with all government regulations regarding the use of, exposure to, transportation of, and disposal of the Products and any waste derived from them;
  8. Buyer holds all licenses, permits, registrations, institutional approvals, and authorizations required for Buyer’s research activities and for the receipt and use of the Products;
  9. Products will be handled, used, and supervised only by qualified and trained individuals;
  10. Buyer will not transfer, sell, supply, gift, donate, or otherwise convey Products, or any portion thereof, to any third party except as expressly permitted by Section 3.6 below; and
  11. All information provided by Buyer to Pharma Peptides, including identity, institutional affiliation, shipping address, and intended research use, is true, accurate, current, and complete.

3.5 Independent Knowledge of Hazards; Duty to Warn

Buyer represents and warrants that, from Buyer’s own independent review and study, Buyer is fully aware and knowledgeable about (i) the health and safety hazards associated with the handling and use of the Products purchased; (ii) the industrial hygiene controls necessary to protect Buyer’s personnel from such hazards; (iii) the need to adequately warn of health and safety hazards associated with the Products; and (iv) all governmental regulations regarding the use of and exposure to such Products. Buyer has the sole and continuing responsibility to verify the hazards of, and to conduct any further research necessary to learn the hazards involved in using, Products purchased from Pharma Peptides. Buyer further has the affirmative duty to warn Buyer’s customers, employees, contractors, and any auxiliary personnel (including, without limitation, freight handlers, waste haulers, and emergency responders) of any risks involved in handling, using, or disposing of the Products.

3.6 No Resale; Limited Internal-Use License

Buyer acknowledges that Pharma Peptides conveys to Buyer only a limited, non-exclusive, non-transferable right to use the purchased quantity of Products solely to perform internal in vitro research for Buyer’s own benefit. No right to resell, redistribute, repackage, relabel, sublicense, export, or otherwise convey the Products, in whole or in part, is granted, expressly, by implication, or by estoppel. If Buyer wishes to provide Products to a third party for any reason, Buyer shall (i) notify Pharma Peptides in writing in advance, (ii) provide complete identifying and qualification information regarding the proposed third party, and (iii) obtain Pharma Peptides’ express written approval prior to any such transfer. Pharma Peptides may grant or withhold such approval in its sole and absolute discretion and may impose conditions on any approved transfer.

3.7 No Patent License

The sale of Products by Pharma Peptides does not warrant or represent that the use, sale, or further use of the Products will not infringe the claims of any United States or foreign patent covering the Product itself, the use of the Product, the use of the Product in combination with any other material, or the operation of any process. The listing of any Product on the Site does not constitute a license to, or a recommendation for, the use of such Product in infringement of any patent.

3.8 TSCA and Regulatory Status

Buyer acknowledges that, because Products are intended for research purposes only, Products may not be on the Toxic Substances Control Act (“TSCA“) inventory. Buyer assumes sole responsibility for ensuring that Products purchased from Pharma Peptides are approved for Buyer’s intended use under TSCA and any analogous foreign chemical inventory or regulatory regime, if applicable.

3.9 Compliance Responsibility

Buyer is solely responsible for ensuring that Buyer’s purchase, importation, possession, use, transportation, and disposal of Products complies with all applicable federal, state, local, and international laws, regulations, executive orders, and institutional policies. Buyer shall maintain all licenses, permits, registrations, and approvals necessary for Buyer’s research activities and shall promptly provide proof of same upon request by Pharma Peptides.

3.10 Right to Refuse and Investigate

Pharma Peptides reserves the right, in its sole and absolute discretion, to limit, refuse, suspend, or cancel any Order, to refuse service to any person or entity, and to investigate any Buyer’s qualifications, intended use, or compliance at any time before, during, or after a sale, with or without notice. Refusal or cancellation under this Section shall not give rise to any liability of Pharma Peptides to Buyer or any third party.

4. Account Registration

To place certain Orders, Buyer may be required to create and maintain an account. Buyer agrees to (a) provide accurate, current, and complete information during registration; (b) promptly update such information to maintain its accuracy; (c) maintain the strict confidentiality of Buyer’s account credentials; (d) accept full responsibility for all activity occurring under Buyer’s account, whether authorized or not; and (e) immediately notify Pharma Peptides of any actual or suspected unauthorized access to or use of Buyer’s account. Pharma Peptides may, in its sole discretion, refuse to register, suspend, or terminate any account at any time, with or without notice or cause, including, without limitation, accounts containing inaccurate or incomplete information, accounts associated with prohibited uses, accounts associated with chargebacks or fraud, or accounts that violate these Terms.

5. Orders, Pricing, and Payment

5.1 Order Acceptance

All Orders are offers by Buyer to purchase Products subject to acceptance by Pharma Peptides. Pharma Peptides reserves the right, at any time and in its sole discretion, to accept, decline, limit, or partially fulfill any Order for any reason or for no reason, including, without limitation, on the basis of Product availability, errors in pricing or product information, suspected fraud, suspected violation of these Terms, or concerns regarding Buyer’s intended use. An Order is not accepted, and no contract of sale is formed, until Pharma Peptides ships the Products. Receipt of an order confirmation, payment authorization, or charge to Buyer’s payment method does not constitute acceptance of an Order.

5.2 Pricing and Typographical Errors

All prices are quoted in U.S. dollars and are subject to change at any time without notice. Pharma Peptides strives for accuracy, but in the event a Product is listed at an incorrect price or with incorrect information due to typographical error, system error, or error in information received from Pharma Peptides’ suppliers, Pharma Peptides shall have the right to refuse or cancel any Order placed for such Product, whether or not the Order has been confirmed and whether or not Buyer’s payment method has been charged. If Buyer’s payment method has already been charged for an Order that is canceled under this Section, Pharma Peptides will issue a refund in the amount charged.

5.3 Payment

Payment in full is due at the time the Order is placed unless otherwise agreed in writing by an authorized representative of Pharma Peptides. Pharma Peptides accepts those payment methods displayed at checkout, which may include credit and debit cards, ACH, wire transfer, digital asset (cryptocurrency) settlement, and other methods, and may be processed through one or more third-party payment processors or settlement intermediaries. Buyer authorizes Pharma Peptides and its processors to charge the selected payment method for the full amount of the Order, including taxes, shipping, handling, and any applicable processing fees. Buyer agrees to the payment methods, processors, and processing arrangements as presented at checkout from time to time, and Pharma Peptides makes no representation or warranty regarding the identity, terms, fees, or practices of any specific processor. Buyer represents that Buyer is duly authorized to use the payment method submitted, that all payment information provided is accurate, and that the billing address provided matches the address on file with the issuer.

5.4 Processing Fees and Surcharges

A payment processing fee, surcharge, or settlement fee may be added to Buyer’s Order and will be disclosed at checkout. Such fees are non-refundable except as required by applicable law.

5.5 Chargebacks and Fraudulent Disputes

Buyer agrees to contact Pharma Peptides in good faith to resolve any billing dispute prior to initiating a chargeback, reversal, or claim with the issuer. Initiation of a chargeback without first attempting in good faith to resolve the dispute with Pharma Peptides shall be deemed a material breach of these Terms. In the event of a chargeback, reversal, or payment dispute that Pharma Peptides determines, in its reasonable discretion, to be fraudulent, abusive, or wrongful, Buyer shall be liable for, and Pharma Peptides shall be entitled to recover, the full amount of the disputed transaction, plus all chargeback and processing fees imposed on Pharma Peptides, all costs of investigation and recovery, and reasonable attorneys’ fees, regardless of whether the issuer ultimately resolves the dispute in Buyer’s favor. Pharma Peptides may report fraudulent or abusive chargeback activity to processors, fraud-prevention networks, and law enforcement.

5.6 Taxes

Prices do not include sales, use, value-added, excise, or other taxes, duties, or governmental charges. Pharma Peptides will collect and remit sales tax in jurisdictions where it is required to do so by applicable law. For Orders shipped to other jurisdictions, Buyer is solely responsible for self-assessment, reporting, and payment of any applicable taxes, duties, or charges. Tax-exempt organizations must furnish a valid exemption certificate prior to Order placement; retroactive exemption is not available.

5.7 Out-of-Stock and Backorders

If a Product is out of stock at the time of Order, Pharma Peptides will use commercially reasonable efforts to notify Buyer and to ship the Product when it becomes available. Buyer may cancel an out-of-stock or backordered Order at any time prior to shipment.

6. Shipping, Delivery, Title, and Risk of Loss

Shipping methods, costs, and timelines are subject to Pharma Peptides’ shipping policy, as updated from time to time, which is incorporated herein by reference. All Orders are shipped F.O.B. origin (Pharma Peptides’ shipping facility). Title to and risk of loss of Products pass to Buyer upon delivery of the Products to the carrier at Pharma Peptides’ shipping facility. All shipping and transit times are estimates only and are not guaranteed. Pharma Peptides shall not be liable for any delay, loss, damage, theft, seizure, destruction, customs detention, regulatory hold, or non-delivery of Products occurring after delivery to the carrier, regardless of cause. Buyer is solely responsible for compliance with all import, export, and customs laws of the destination jurisdiction, for payment of all duties, taxes, and brokerage fees, and for any losses arising from refusal of entry, customs seizure, or rejected delivery.

7. Product Quality and Documentation

7.1 Certificate of Analysis

Each Product is supplied with, or has available, a Certificate of Analysis (“COA“) describing identity, purity, and other quality attributes as determined by Pharma Peptides’ or its third-party laboratory’s analytical testing. COAs reflect the results of testing on the lot from which the Product was drawn and are accurate as of the date of testing.

7.2 Storage and Handling

Buyer is solely responsible for the proper receipt, storage, handling, and disposal of Products in accordance with the storage and handling specifications provided by Pharma Peptides and with applicable scientific standards and regulations. Improper storage or handling may degrade or destroy the Product and shall void any warranty, guarantee, or replacement obligation that might otherwise apply.

7.3 Quality Claims and Inspection

Buyer shall inspect all Products promptly upon receipt. Any claim regarding shortage, damage, non-conformity, identity, or purity of a Product must be submitted to Pharma Peptides in writing within fourteen (14) days of Buyer’s receipt of the Product. Failure to submit a written claim within such period shall constitute Buyer’s irrevocable acceptance of the Product as conforming. Pharma Peptides may, as a condition of investigating any claim, require Buyer to return the Product (or unused portion), retain segregated samples, and/or provide supporting documentation. Pharma Peptides’ sole obligation, and Buyer’s sole and exclusive remedy, for any non-conforming Product shall be, at Pharma Peptides’ option, replacement of the Product, refund of the purchase price paid for the affected Product, or issuance of a credit in such amount. This remedy is in lieu of all other remedies, statutory or otherwise.

7.4 No Testing for Non-Research Use

Buyer acknowledges that Pharma Peptides has not tested, and does not test, Products for safety or efficacy in food, drugs, medical devices, cosmetics, commercial applications, or any use other than research. Buyer expressly represents and warrants to Pharma Peptides that Buyer will properly test and use any Product purchased from Pharma Peptides, and any product produced with or from any Product, in accordance with the practices of a reasonable and qualified expert in the relevant field of science, and in strict compliance with all applicable laws and regulations now in effect or hereafter enacted.

8. Export Control and Sanctions Compliance

Products and related technical data may be subject to the U.S. Export Administration Regulations (EAR) administered by the Bureau of Industry and Security, U.S. economic sanctions administered by the Office of Foreign Assets Control (OFAC), and other U.S. and foreign export control and sanctions laws (collectively, “Export Laws“). Buyer warrants that Buyer will not export, re-export, transship, or otherwise transfer Products, in whole or in part, in violation of any Export Laws. Buyer represents and warrants that (a) Buyer is not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions; (b) Buyer is not identified on any restricted-party list maintained by the U.S. government, including OFAC’s Specially Designated Nationals and Blocked Persons List or the Denied Persons, Entity, or Unverified Lists; and (c) Buyer is not owned or controlled by any party so identified. Buyer shall be solely responsible for obtaining all export licenses and authorizations required for any export or re-export of Products.

9. Intellectual Property

All content on the Site, including text, graphics, logos, trademarks, service marks, trade dress, product names, COAs, images, photographs, illustrations, video, audio, software, code, data compilations, and the selection, coordination, and arrangement thereof (collectively, “Site Content“), is the property of Pharma Peptides or its licensors and is protected by U.S. and international copyright, trademark, trade dress, and other intellectual property laws. All rights not expressly granted herein are reserved. Buyer may access and use the Site Content solely for the purpose of evaluating, ordering, and using Products in accordance with these Terms. Buyer shall not reproduce, distribute, modify, publicly display, publicly perform, transmit, sell, license, create derivative works from, scrape, mine, train any artificial intelligence or machine learning model on, or otherwise exploit any Site Content without the prior express written permission of Pharma Peptides. Unauthorized use may violate applicable law and may give rise to civil or criminal liability.

10. Buyer’s Conduct on the Site

Buyer shall not, and shall not permit any third party to, (a) access the Site by any automated means except as expressly permitted by Pharma Peptides; (b) interfere with, disrupt, or attempt to gain unauthorized access to the Site, our systems, or any other user’s account; (c) introduce any virus, malware, or harmful code; (d) use the Site to transmit unlawful, fraudulent, defamatory, or infringing content; (e) impersonate any person or entity or misrepresent Buyer’s affiliation; or (f) use the Site in any manner that violates these Terms or applicable law.

11. Third-Party Sites and Services

The Site may contain links to, or interoperate with, third-party websites, services, processors, or platforms (“Third-Party Services“). Pharma Peptides does not own, control, endorse, or assume responsibility for any Third-Party Services or their content, policies, or practices. Buyer’s use of any Third-Party Service is solely between Buyer and the operator of such service and is governed by the terms and policies of that service.

12. DISCLAIMER OF WARRANTIES

PRODUCTS AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” FOR RESEARCH USE ONLY, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHARMA PEPTIDES, ON BEHALF OF ITSELF AND ITS AFFILIATES, OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS, EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION:

  1. ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  2. ALL WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE;
  3. ALL WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY PRODUCT INFORMATION, COA, SPECIFICATION, OR SITE CONTENT;
  4. ALL WARRANTIES THAT PRODUCTS WILL MEET BUYER’S REQUIREMENTS, EXPECTATIONS, OR INTENDED RESEARCH OUTCOMES;
  5. ALL WARRANTIES THAT THE SITE WILL OPERATE UNINTERRUPTED, ERROR-FREE, FREE OF MALICIOUS CODE, OR SECURE; AND
  6. ALL WARRANTIES THAT THE USE OR SALE OF PRODUCTS WILL NOT INFRINGE ANY PATENT OR OTHER INTELLECTUAL PROPERTY RIGHT.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY BUYER FROM PHARMA PEPTIDES OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO PORTIONS OF THE FOREGOING EXCLUSIONS MAY NOT APPLY TO BUYER; IN SUCH JURISDICTIONS, PHARMA PEPTIDES’ WARRANTIES SHALL BE LIMITED TO THE MINIMUM SCOPE AND DURATION PERMITTED BY LAW.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. NO INDIRECT DAMAGES. IN NO EVENT SHALL PHARMA PEPTIDES OR ITS AFFILIATES, OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, THE “PHARMA PEPTIDES PARTIES“) BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, RESEARCH FAILURE, COST OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER INTANGIBLE OR INDIRECT LOSSES, ARISING FROM OR RELATED TO THESE TERMS, THE SITE, ANY PRODUCT, OR ANY ACT OR OMISSION OF THE PHARMA PEPTIDES PARTIES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, WARRANTY, STATUTE, OR OTHERWISE) AND EVEN IF THE PHARMA PEPTIDES PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  2. AGGREGATE CAP. THE PHARMA PEPTIDES PARTIES’ TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT, REGARDLESS OF THE FORM OR NUMBER OF CLAIMS, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID BY BUYER TO PHARMA PEPTIDES FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100.00).

  3. MISUSE EXCLUSION. THE PHARMA PEPTIDES PARTIES SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGES, INJURY, ILLNESS, DEATH, PROPERTY DAMAGE, OR OTHER LOSS ARISING FROM OR RELATED TO BUYER’S OR ANY THIRD PARTY’S MISUSE OF PRODUCTS, INCLUDING, WITHOUT LIMITATION, ANY USE OF PRODUCTS CONTRARY TO THE RESEARCH USE ONLY RESTRICTIONS IN SECTION 3.

  4. ESSENTIAL PURPOSE. THE LIMITATIONS IN THIS SECTION 13 ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN BETWEEN BUYER AND PHARMA PEPTIDES, AND PRODUCTS WOULD NOT BE PROVIDED TO BUYER ABSENT SUCH LIMITATIONS. THE LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

  5. JURISDICTIONAL LIMITS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES; IN SUCH JURISDICTIONS, THE PHARMA PEPTIDES PARTIES’ LIABILITY SHALL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

Buyer shall defend, indemnify, and hold harmless the Pharma Peptides Parties from and against any and all claims, demands, suits, actions, proceedings, losses, damages, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including, without limitation, reasonable attorneys’ fees, expert fees, and court costs) arising from or related to:

  1. Buyer’s purchase, receipt, storage, handling, use, misuse, transfer, transportation, or disposal of any Product;
  2. Buyer’s violation or alleged violation of these Terms, including, without limitation, the Research Use Only restrictions in Section 3 and the export control representations in Section 8;
  3. Buyer’s violation of any applicable law, regulation, order, or third-party right (including, without limitation, intellectual property, privacy, and publicity rights);
  4. Any false, inaccurate, or misleading certification, representation, or warranty made by Buyer;
  5. Any claim by any third party (including, without limitation, Buyer’s personnel, customers, or downstream recipients) related to Buyer’s research, products, or activities;
  6. Any chargeback, reversal, or payment dispute initiated by or on behalf of Buyer in violation of Section 5.5; and
  7. Any negligent or wrongful act or omission of Buyer or Buyer’s personnel, agents, or contractors.

Pharma Peptides reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Buyer, in which event Buyer shall cooperate with Pharma Peptides in asserting any available defenses. Buyer shall not settle any matter without Pharma Peptides’ prior written consent.

15. Force Majeure

Pharma Peptides shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay arises from causes beyond its reasonable control, including, without limitation, acts of God, fire, flood, earthquake, severe weather, pandemic, epidemic, public health emergency, war, terrorism, civil unrest, riot, embargo, sanctions, governmental action or inaction, regulatory hold, change in law, labor dispute, supplier or carrier failure, raw material shortage, supply-chain disruption, internet or utility outage, cyberattack, or other similar event.

16. Governing Law; Venue; Arbitration; Class Waiver; Jury Waiver

16.1 Governing Law

These Terms, and any dispute, claim, or controversy arising from or related to these Terms, the Site, or any Product, shall be governed by and construed in accordance with the laws of the State of Arizona, including the Arizona Uniform Commercial Code, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

16.2 Binding Arbitration

Any dispute, claim, or controversy arising from or related to these Terms, the Site, any Product, or the relationship between Buyer and Pharma Peptides (each, a “Dispute”) shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, seated in Phoenix, Arizona, and conducted in the English language. The arbitrator shall have exclusive authority to resolve any Dispute, including any question regarding the existence, scope, validity, or enforceability of these Terms or this arbitration provision. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

16.3 Class Action and Representative Action Waiver

Buyer and Pharma Peptides each agree that any Dispute shall be brought solely in the party’s individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, mass, or representative proceeding. The arbitrator shall have no authority to consolidate claims or to preside over any class, collective, or representative proceeding. If a court of competent jurisdiction determines that this class waiver is unenforceable as to a particular claim, that claim (and only that claim) shall be severed and adjudicated in court under Section 16.4, and all other claims shall remain subject to arbitration.

16.4 Carve-Outs and Court Venue

Notwithstanding Section 16.2, either party may (a) seek temporary, preliminary, or permanent injunctive or equitable relief in court to protect its intellectual property, confidential information, or to enforce the prohibitions of Section 3, and (b) bring an individual claim in a small-claims court of competent jurisdiction if the claim qualifies. Any action brought in court under this Section 16.4, or to enforce or vacate an arbitration award, shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and the parties irrevocably consent to the personal jurisdiction and venue of such courts.

16.5 Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYER AND PHARMA PEPTIDES EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT.

16.6 Attorneys’ Fees

In any action or proceeding to enforce or interpret these Terms, including any arbitration under Section 16.2 or court action under Section 16.4, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, expert fees, and costs from the non-prevailing party, as permitted under Arizona Revised Statutes § 12-341.01 and other applicable law.

16.7 Time Limitation

Any Dispute must be commenced within one (1) year after the cause of action accrues, or it shall be permanently barred, except where a longer period is required by non-waivable law.

17. Termination

Pharma Peptides may, at any time and in its sole discretion, with or without cause and with or without notice, suspend or terminate Buyer’s account, refuse to accept Orders from Buyer, or revoke Buyer’s right to access the Site. Upon termination, Buyer’s right to access the Site and to use any Product license granted under Section 3.6 shall cease immediately, and any outstanding amounts owed by Buyer to Pharma Peptides shall become immediately due and payable. The provisions of Sections 1, 2, 3, 5.4, 5.5, 6, 7.3, 7.4, 8, 9, 12, 13, 14, 15, 16, 17, 18, 19, 20, 21, and 22, together with any other provision that by its nature is intended to survive, shall survive any termination or expiration of these Terms.

18. Modifications to These Terms

Pharma Peptides reserves the right to modify these Terms at any time, in its sole discretion. Modifications shall be effective upon posting to the Site, with the “Last Revised” date updated accordingly. Material changes will be communicated by email to registered account holders or by prominent notice on the Site. Buyer’s continued access to the Site or placement of any Order after the effective date of any modification constitutes Buyer’s acceptance of the modified Terms. If Buyer does not agree to a modification, Buyer’s sole remedy is to discontinue use of the Site and to refrain from placing further Orders. Prior versions of these Terms are available upon written request.

19. Electronic Communications and Signatures

Buyer consents to receive communications from Pharma Peptides in electronic form, including by email and by posting on the Site, and agrees that all such communications satisfy any legal requirement that communications be in writing. Buyer further agrees that any electronic acceptance, click-through assent, or other electronic record relating to these Terms or any Order shall constitute Buyer’s signature and shall be enforceable to the same extent as a manual signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act (UETA), and any analogous law.

20. Privacy

Buyer’s use of the Site and submission of personal and business information to Pharma Peptides is governed by Pharma Peptides’ Privacy Policy, which is incorporated herein by reference. By using the Site or placing an Order, Buyer consents to the collection, use, and disclosure of information as described in the Privacy Policy.

21. Notices

All legal notices to Pharma Peptides under these Terms must be in writing and sent by certified mail, return receipt requested, or by reputable overnight courier, to:

Notices to Buyer may be given by email to the address associated with Buyer’s account or by posting on the Site, and shall be effective upon transmission or posting.

22. General Provisions

22.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein and any written agreement signed by an authorized representative of Pharma Peptides, constitute the entire agreement between Buyer and Pharma Peptides regarding the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, communications, representations, and warranties, written or oral.

22.2 Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be reformed to the minimum extent necessary to render it valid and enforceable while preserving the parties’ intent, and the remaining provisions shall continue in full force and effect.

22.3 No Waiver

No failure or delay by Pharma Peptides in exercising any right under these Terms shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude any further exercise.

22.4 Assignment

Buyer may not assign, transfer, or delegate these Terms or any rights or obligations hereunder, by operation of law or otherwise, without Pharma Peptides’ prior written consent, and any attempted assignment in violation of this Section shall be void. Pharma Peptides may freely assign or transfer these Terms, in whole or in part, without notice or consent.

22.5 No Agency

Nothing in these Terms shall be construed to create any agency, partnership, joint venture, employment, or fiduciary relationship between Buyer and Pharma Peptides. Neither party has authority to bind the other in any manner.

22.6 No Third-Party Beneficiaries

Except as expressly provided herein with respect to the Pharma Peptides Parties (who are intended third-party beneficiaries of Sections 12, 13, and 14), these Terms are for the sole benefit of the parties hereto and their permitted successors and assigns and confer no rights upon any other person or entity.

22.7 Headings; Interpretation

Section headings are for convenience only and shall not affect interpretation. The words “include,” “including,” and similar terms shall be deemed to be followed by “without limitation.” These Terms have been negotiated by sophisticated parties and shall not be construed against the drafter.

22.8 Language

These Terms are in the English language, and the English-language version shall control over any translation.
